1. Acceptance of terms

By accessing or using POPilot at getpopilot.com ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms.

2. Description of service

POPilot is an inventory planning and purchase-order decision tool for Amazon FBA sellers.

The Service connects to an authorized Amazon selling account through Amazon's Selling Partner API to provide inventory analytics, projected inventory coverage, reorder timing, purchase-order recommendations, inventory verification, recommended order quantities, FBA and AWD allocation support, and related planning features.

POPilot is an independent software application and is not affiliated with, endorsed by, or sponsored by Amazon.

3. Account registration

You must create an account to use POPilot. You are responsible for maintaining the confidentiality of your account credentials and for activity performed through your account.

You agree to provide accurate and complete registration information and to update it when necessary. You must be at least 18 years old and legally able to enter into a binding agreement to use the Service.

4. Amazon account connection

To use POPilot's core features, you must authorize POPilot to access your Amazon selling account.

By connecting your account, you authorize POPilot to access and process Amazon data solely as necessary to provide the Service. POPilot requests read-oriented permissions required for its inventory-planning features and does not place purchase orders, change listings, change pricing, or submit inventory actions on your behalf.

You may revoke authorization through POPilot's Settings page or through Amazon Seller Central. Revoking authorization may prevent core features from operating.

5. Information and settings you provide

Certain recommendations depend on information that you enter, including supplier lead times, minimum order quantities, unit costs, freight estimates, deposit terms, target inventory coverage, safety-stock settings, inventory funding limits, and reserve-floor preferences.

You are responsible for ensuring that this information is complete, accurate, and current.

6. Acceptable use

You agree to use the Service only for lawful business purposes and in accordance with these Terms.

You may not attempt to gain unauthorized access to the Service, interfere with its operation, bypass security controls, introduce malicious code, misuse Amazon data, reverse engineer the Service except where expressly permitted by law, or use the Service in a manner that violates applicable law or Amazon policies.

7. Recommendations and accuracy

POPilot provides inventory calculations and purchase-order recommendations based on available Amazon data, your settings, and assumptions used by the Service.

Recommendations are provided for informational and planning purposes only. They do not constitute accounting, legal, investment, lending, tax, or financial advice.

POPilot does not guarantee that a recommendation will prevent stockouts, reduce fees, improve profitability, or produce any specific business outcome. You remain solely responsible for reviewing each recommendation and making all purchasing, inventory, supplier, and financial decisions.

Recommendation accuracy depends on the completeness, accuracy, availability, and timing of information received from Amazon and information you provide.

8. Beta access and future pricing

POPilot is currently available at no charge during its beta period. No credit card is required to use the beta version.

We may introduce paid plans, usage limits, or additional paid features in the future. We will provide reasonable advance notice before charging for access. You will not be charged unless you affirmatively agree to the applicable pricing and payment terms.

Future pricing, billing cycles, cancellation policies, and refund terms will be disclosed before any paid subscription begins.

9. Intellectual property

The Service, including its software, design, branding, text, calculations, interfaces, and original content, is owned by POPilot or its licensors and is protected by applicable intellectual-property laws.

You may not copy, modify, distribute, sell, lease, sublicense, or commercially exploit any part of the Service without written permission.

You retain ownership of information that you provide. You grant POPilot a limited right to process that information solely as necessary to operate, secure, maintain, and improve the Service.

10. Third-party services

POPilot relies on third-party services, including Amazon APIs and infrastructure providers, to provide certain functionality.

We do not control the availability, accuracy, policies, or operation of third-party services. Features may be interrupted, delayed, limited, or changed when a third-party service becomes unavailable or modifies its systems or policies.

11. Suspension and termination

We may suspend or terminate access to the Service when reasonably necessary to protect security, investigate misuse, comply with legal obligations, enforce these Terms, or protect POPilot and its users.

You may stop using POPilot at any time. To request account deletion, contact support@getpopilot.com.

Following a verified deletion request, we will delete or anonymize associated information within a reasonable period, subject to legal, security, backup, and record-retention requirements.

12. Disclaimer of warranties

The Service is provided "as is" and "as available" to the fullest extent permitted by law.

POPilot disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.

We do not warrant that the Service will always be available, error-free, secure, or suitable for every seller or business circumstance.

13. Limitation of liability

To the fullest extent permitted by law, POPilot will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Service.

This includes loss of profits, revenue, inventory, ranking, goodwill, business opportunities, data, or business interruption resulting from reliance on recommendations, delayed data, stockouts, over-ordering, supplier issues, Amazon actions, or third-party-service interruptions.

To the fullest extent permitted by law, POPilot's total liability arising from or related to the Service will not exceed the amount you paid to POPilot during the three months preceding the event giving rise to the claim.

14. Governing law and disputes

These Terms are governed by the laws stated by the entity operating POPilot, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Service will be handled in the courts or through the dispute-resolution process applicable to that operating entity, unless applicable law requires otherwise.
